Terms of Service

Please read these Terms of Service carefully before utilizing Pledgement. By accessing or interacting with our websites, software services, automated analytic algorithms, and data interfaces, you contractually agree to be bound by the terms outlined below.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pledgement ("Pledgement," "we," "us," or "our"). These Terms govern your access to and use of Pledgement’s software platform, proprietary analytical models, client interfaces, and related features (collectively, the "Platform"). If you do not agree to these Terms in their entirety, you must immediately terminate access to and refrain from using our services.

2. Eligibility & Compliance

To access or use the Platform, you represent and warrant that:

  • You are at least the age of majority in your province, state, or country of residence (and at least 18 years of age);
  • You possess the full legal capacity, right, and authority to enter into these Terms;
  • Your use of our algorithmic analytics does not violate any local, provincial, federal, or international laws, trade sanctions, or financial regulations applicable to you;
  • You are not a resident of or located in any jurisdiction where the provision of algorithmic cryptocurrency software tools is restricted or prohibited.

3. Nature of Services and Technical Scope

Pledgement provides algorithmic analysis tools, automated strategy models, market monitoring infrastructure, and analytical data simulations for digital asset ecosystems, foreign exchange metrics, and public securities. You acknowledge and accept that:

  • Pledgement provides software-as-a-service technology and computational market tools;
  • Pledgement is not a registered financial advisor, portfolio manager, securities broker, exchange custodian, or investment dealer under Canadian provincial securities commissions or equivalent international supervisory bodies;
  • Platform tools do not execute trades autonomously with direct holding of user capital; all connectivity relies on your personal API configurations and independent third-party trading venues;
  • Simulation models, backtested metrics, and automated risk formulas are provided solely for analytical and educational reference.

4. User Accounts and Operational Security

When creating credentials or linking analytical profiles with Pledgement, you must supply accurate, complete, and updated information. You remain solely responsible for preserving the confidentiality of your platform credentials, multi-factor authentication tokens, and API secret keys. Any activity conducted under your registered profile is deemed your sole responsibility. You agree to notify us immediately at [email protected] upon discovering any unauthorized entry or compromise.

5. Prohibited Conduct

When using Pledgement, you expressly agree not to:

  • Reverse-engineer, decompile, disassemble, or extract proprietary algorithmic logic, source code, or heuristics developed by Pledgement;
  • Employ automated scrapers, bots, or distributed stress-testing tools that disrupt system latency, server health, or API rate limits;
  • Use the Platform to execute market manipulation, spoofing, wash trading, or violate anti-money laundering (AML) protocols;
  • Sublicense, resell, lease, or commercially distribute platform outputs without written permission from Pledgement;
  • Circumvent security parameters, geographic blockades, or credential mechanisms instituted across our infrastructure.

6. Intellectual Property Rights

All intellectual property rights associated with Pledgement—including visual design, trademarks, software code, algorithm methodologies, interface layouts, and proprietary indicators—are and shall remain the exclusive property of Pledgement and its licensors. You are granted a limited, revocable, non-exclusive, non-transferable licence solely to access the Platform for your personal, internal operational use.

7. Disclaimer of Warranties & No Advice

The Platform and its analytical features are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express, statutory, or implied. Pledgement disclaims all warranties regarding merchantability, fitness for a particular purpose, uptime continuity, and mathematical error-free execution. Nothing provided on the Platform constitutes legal, tax, accounting, or investment advice. You acknowledge that financial decisions remain exclusively your own responsibility.

8. Limitation of Liability

To the maximum extent permitted under applicable law, Pledgement, its directors, officers, employees, and software providers shall not be liable for any indirect, incidental, punitive, consequential, or special damages, including lost profits, loss of digital assets, execution slippage, platform downtime, or system latency failures, arising out of or related to your use of or inability to use the Platform.

9. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to them shall be governed by, construed, and enforced in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, for the resolution of any litigation or claim arising under these Terms.

10. Modifications and Termination

We reserve the right to revise or update these Terms at any time. When modifications occur, we will update the "Effective" date at the top of this document. Your continued use of the Platform after the posting of changes constitutes your acceptance of the amended Terms. We reserve the right to suspend or discontinue services or access to any user who fails to abide by these Terms.
